NetScan - Terms and Conditions of Use
Welcome to NetScan, a product of CipherGuard Technologies, located at 411 University Ave, Suite 10, Palo Alto, CA 94301. These Terms and Conditions govern your use of the NetScan website and software. By accessing or using our services, you agree to be bound by these terms. 4. Intellectual Property
All content, software, and technology used in NetScan, including but not limited to the NetScan name, logo, design, and code, are the intellectual property of CipherGuard Technologies or its licensors. You are granted a limited, non-exclusive, non-transferable license to use NetScan for your internal business purposes. You may not copy, modify, distribute, sell, or lease any part of NetScan without our express written consent.
5. Disclaimer of Warranties
NetScan is provided "as is" and "as available" without any warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. CipherGuard Technologies does not warrant that NetScan will be error-free, uninterrupted, or secure. We disclaim all liability for any damages arising from your use of NetScan, including but not limited to direct, indirect, incidental, consequential, and punitive damages.
6. Limitation of Liability
To the maximum extent permitted by law, CipherGuard Technologies shall not be liable for any damages whatsoever, including but not limited to damages for loss of profits, data, or other intangible losses, arising out of or in connection with your use of NetScan. In no event shall our total liability to you exceed the amount you paid for NetScan, if any.
7. Indemnification
You agree to indemnify and hold harmless CipherGuard Technologies, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, or expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with your use of NetScan or your violation of these Terms and Conditions.
8. Termination
CipherGuard Technologies may terminate your access to NetScan at any time, with or without cause, and without prior notice. Upon termination, your right to use NetScan will immediately cease. Sections 4, 5, 6, 7, and 9 of these Terms and Conditions shall survive any termination.
9. Governing Law and Dispute Resolution
These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms and Conditions shall be resolved through binding arbitration in Santa Clara County, California, in accordance with the rules of the American Arbitration Association. The arbitrator's decision shall be final and binding on both parties.

11. Modifications to the Service
CipherGuard Technologies reserves the right at any time to modify or discontinue, temporarily or permanently, the NetScan service (or any part thereof) with or without notice. You agree that CipherGuard Technologies shall not be liable to you or to any third party for any modification, suspension, or discontinuance of the service.

13. Severability

These Terms and Conditions constitute the entire agreement between you and CipherGuard Technologies relating to your use of NetScan and supersede all prior or contemporaneous communications and proposals, whether oral or written, between you and CipherGuard Technologies with respect to NetScan.
